SPEAKER CONTRACT AND RELEASE AGREEMENT

This SPEAKER CONTRACT AND RELEASE AGREEMENT (“Contract”) is provided to Homesteaders of Iowa LLC (“HOI”) having its principal place of business at 702 E 2nd Street, Hedrick, Iowa 52563 by the above-named speaker with respect to HOI Expo 2025 – Midwest Conference (the “Conference”) in consideration for

  1. Payment: 50% downpayment on HOI receipt of contract; with balance due 14 days prior to the event,
  2. My participation in the Conference, 
  3. Other good and valuable consideration; the receipt and sufficiency of which is hereby acknowledged,

I agree to the following with respect to the Conference at which I have been offered the opportunity to be a speaker by HOI:

1. Agreements

Responsibilities. I agree to present my Presentation(s) on the event dates of February 21st and/or 22nd, 2025.  Time of the presentation(s) tbd.

  1. I agree to meet all deadlines outlined by HOI.
  2. During my presentation, I agree to not promote my services, my company, or my product, in which I have a commercial interest, except under terms already agreed upon between myself and HOI.
  3. I will notify HOI immediately in the event that an emergency would prevent me from meeting my obligation as a speaker.
  4. I agree that all technology and software for the Presentation will be provided and hosted by myself at my own expense and at no cost to HOI. (projector & screen will be provided by Venue)
  5. I agree that HOI will manage the marketing of this Conference and the Event. Any additional marketing and promotion done by the speaker, although greatly appreciated, will be at their own expense and at no cost to HOI.
  6. I agree that If, without prior mutual agreement, I fail to meet my obligations as a speaker, I will return any and all monies received from HOI plus 50% to cover damages. (i.e. no show or leave early)

2. Intellectual Property Rights to Recording and Materials

  1. I give permission to HOI to record my entire Presentation, including my likeness, voice and verbal statements, on film, videotape, and audiotape (collectively the “Recording”).  I acknowledge that HOI, in capturing my presentation, will become the copyright owner of the Recording.  To the extent I have any rights in the Recording, I hereby assign all my rights, title and interest in and to the Recording to HOI.  I hereby provide HOI consent to display and provide the above Recording and related Presentation materials via the HOI website and/or virtual platform, including:
    • The video and audio Recording of my presentation,
    • The use of my name and/or image in photos, video, internet transmission or other media in connection with promoting the Conference and the Event.
    • The right to charge for access to the Recording.
  2. I also grant HOI and its successors, assigns, and licensees a royalty-free and unlimited license to broadcast, display, reproduce, edit, sell, lease, license to a third party, exhibit and distribute the Recording, any and all written or verbal material I submit as part of my presentation (“Materials”), and any derivative works created from or with it, over television, cable, the Internet, by creating CDs or DVDs, or by any other communication medium. HOI also retains the right, at its sole discretion, to choose whether to archive the footage of the Recording, and whether to use it for any other purpose. I acknowledge that in accordance with the license provided herein HOI has the right to display and provide the Recording and Materials via the HOI website.
  3. I give permission to HOI to use the Recording, my name, likeness, voice, and biographical information and any other information about me in connection with the advertising, promotion and public relation efforts relating to the Presentation and the Event in any and all media, now known or hereafter created without any compensation to me.

3. Representations.

I warrant and represent to HOI that:

  1. my Presentation and Materials are my original work, factually accurate, and contains nothing libelous or otherwise unlawful;
  2. I am the sole owner of every aspect of my Presentation and my Materials, or if my Presentation or my Materials require permission, including, but not limited to, pictures, clip art, songs, sounds, video, and written/printed content, I have obtained a written permission or license from the copyright proprietor;
  3. the Presentation and Materials will not infringe on the rights of others, and that I have full power to grant the licenses and enter into this Contract; and
  4. before my Presentation, I will de-identify (remove) personal data/information/images in any form (written, audio, visual, video, or other) that could identify a person who has not explicitly consented to that person’s personal data/information/image being included in my Presentation or my Materials and I understand that this may require deleting, masking, blurring, pixelating, distorting, cropping, or modifying the data in other ways.

4. Compensation

  1. I understand and agree that I am not entitled to any compensation or revenue from HOI in connection with the sale or display of the Recording.
  2. I understand and agree that any expenses incurred to participate in this Conference are my responsibility and I will not be reimbursed by HOI unless previously discussed and agreed upon in writing.

5. Force Majeure

I understand that if the Presentation or the Event is prevented due to acts of God, government restrictions, flood, fire, earthquake, epidemics, shortage of adequate power or transportation facilities, embargoes, war, invasion, hostilities, riots or other civil unrest, strikes, labor stoppages or slowdowns, or other industrial disturbances, or any other cause beyond the reasonable control of myself or HOI which makes it commercially impracticable, illegal, or impossible to hold the Presentation or Event, either myself or HOI shall not be responsible to the other party for failure or delay in performance of its obligations to conduct the Presentation or the Event. Either party will immediately notify the other if the Presentation or Event cannot move forward as planned.

6. Indemnification

I agree to indemnify, hold harmless, and defend HOI from and against any losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees and all other costs of defense, arising out of any third-party claim or threatened claim against HOI arising out of any actual or alleged breach of the representations or warranties made by me in this Contract.

9. Term, Termination and Survival.

  1. The term of this Contract will commence on the Date of Signature, and continue until completion of the Conference or cancellation of the Event, unless sooner terminated in accordance with the provisions of Section 9.
  2. HOI and I may mutually agree to cancel or reschedule the Conference based on registration. This Contract shall be terminated upon the cancellation of the Conference.
  3. HOI shall have the right to cancel the Conference or Event and terminate this Contract at any time and for any reason, effective immediately, on written notice to the undersigned.
  4. The rights and obligations of the parties set forth in this Contract, and any right or obligation of the parties in this Contract which, by its nature, should survive termination or expiration of this Contract, will survive any such termination or expiration of this Contract.

10. Event Registration

By filling out this form, I am registering for the Event.  I understand that I do not need to purchase a ticket.

Any partners or employees also coming to the Event must be registered by supplying contact information of their name, the name of the person they are accompanying, reason, and phone number.  This information can be sent by email, either as each individual or combined as a group.   Limits may apply.  homesteaders.iowa@gmail.com. 

11. General

This Contract may not be amended except by written instrument signed by HOI. Unless you are subject to a separate agreement with HOI, this Contract constitute the entire Contract and understanding among the parties with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, understandings, inducements and conditions expressed or implied, oral or written, of any nature whatsoever with respect to the subject matter hereof. This Contract shall be binding upon and inure to the benefit of the parties, their successors, and assigns. This Contract may not be assigned without HOI’s express, prior written consent which may be withheld at HOI’s sole discretion. No failure to exercise, or delay in exercising, any right operates as a waiver thereof. Except for the parties, their successors and permitted assigns, there are no third-party beneficiaries under this Contract. This Contract and the resolution of any dispute related to the terms of this Contract shall be governed by and construed in accordance with the laws of the State of Iowa, without giving effect to any principles of conflicts of law provisions.

Any provision of this Contract which is prohibited or unenforceable shall be ineffective only to the extent of such prohibition or unenforceability without invalidating the remaining provisions of this Contract.
